MANHU Web Services: Terms & Conditions

These Terms govern every purchase of a website package (a “Package”) from [MANHU LEGAL ENTITY NAME], a company organised under the laws of the Republic of Guatemala, [address], NIT [number] (“Manhu”, “we”, “us”), by the business named at checkout or in the Intake Form (“Client”, “you”). By paying a deposit or the Package price you accept these Terms on behalf of that business. Packages are sold to businesses and organisations, not to individual consumers. The version of these Terms shown at the time of your payment governs your order; we may publish updated versions for future orders.
1. Definitions
- Order: your Recurrente payment receipt, the Package page as published on the date of payment, your completed Intake Form, any accepted add-on or Change Request quote, and these Terms. If they conflict, the order of precedence is: accepted Change Request quote, Intake Form, Package page, these Terms.
- Tier Scope: the inclusions listed on the Package page for the Package you bought (summarised in clause 2).
- Content: everything we need from you to build the site: text, logo files, images, brand colours, translations, legal texts (privacy policy, terms of your business), access to your domain and any accounts, and the answers in the Intake Form.
- Content Worksheet: the content questionnaire inside the Intake Form (English or Spanish) through which you send us your Content.
- Content Complete: the date on which we confirm in writing that we have received all Content needed for the Tier Scope.
- Kickoff: the later of (a) the deposit clearing, (b) the Intake Form being complete, and (c) our written confirmation of the project start. Content is due after Kickoff (clause 6).
- Business Day: Monday to Friday, excluding public holidays in Guatemala and United States federal holidays.
- Preview: a link to the work in progress on our staging environment, for your review.
- Revision Round: one consolidated written list of changes to a Preview, sent through the Project Channel within 5 Business Days of receiving that Preview and covering existing sections and copy only (clause 7).
- Change Request: any work outside the Tier Scope, or any change to work you have already approved (clause 3).
- Launch: the day the site is published on your domain.
- Handover: delivery of the source code, repository, accounts and training listed in clause 8.
- Support Window: the free support period after Launch described in clause 9.
- Project Channel: the email address or WhatsApp number named in your Order; during the Support Window, the single support address of clause 9.
- Small Edit Batch: up to 30 minutes of text or image swaps in one request (clause 9).
2. What you buy: scope per Package
The Package page at the time of purchase is the definitive list of inclusions and forms part of your Order. In summary (all values from the Package pages):

Units. A page is up to 6 sections (the landing Packages state their own section cap). A gallery or projects page holds up to 12 items. Utility pages (404, privacy, terms) are included and not counted. A thank-you page counts as a page, except in the Premium Landing Page, where it is included.
Every Package includes: hand-coded front end (Astro on the static Packages; a custom-coded WordPress theme on the editable Packages, with no page builder and no builder licence), mobile-first responsive layout, contact form to your email with spam protection, WhatsApp click-to-chat and click-to-call buttons, on-page search basics (title, meta description, image alt text, Open Graph tags, sitemap, robots), Google Analytics 4 installed and verified, your domain connected with SSL, and full source code and Git repository handover on final payment. Static Packages are deployed to a free static host on your own account with no monthly hosting fee. Editable Packages are installed on managed WordPress hosting on an account in your name; the host bills you directly (currently $10 to $35 per month at renewal at the hosts we recommend; verified 2026-09-04), and editor accounts beyond the owner are created at no charge. The Astro + Sanity headless upgrade (no monthly hosting fee, a curated editor) is available on the editable Packages as an add-on (+$250); on that upgrade, editor seats beyond the owner may require a paid CMS seat billed by the CMS provider.
Not included in any Package unless listed on its page or bought as an add-on: writing your text from scratch (Premium Landing Page drafts page copy from your worksheet answers and a 30-minute call); logo or brand design; photography; a content editor or blog on the static Packages; online store, payments, memberships or bookings; domain registration fees; hosting fees for WordPress or any paid hosting tier; premium plugin, theme or font licences; paid advertising or ad account management; a second language; exclusivity of the design by industry or metro; maintenance after the Support Window; and any integration or feature not named on the Package page.
Design system and non-exclusivity. Every site is built on FSEVO’s design system and template library, which is shown publicly as examples of the systems we build from, and is adapted to your brand and content. No exclusivity of layout, industry or metro is granted unless you buy the Exclusivity add-on ($300: the chosen template locked to your industry and metro for 12 months, recorded in our showcase log).
3. Change Requests
3.1 A Change Request is any of the following: a page, section, list, feature, integration, language or design element not in the Tier Scope; a change to a Preview or stage you have already approved; new or replaced Content after Content Complete that requires rework; a revision round beyond the number in your Package; or a change of creative direction after the design Preview is approved.
3.2 Published add-on prices apply where they exist: extra page $150 (static Packages) or $200 per editable page (editable Packages); extra section on the Premium Landing Page $150; rush delivery +40% of the Package price with a $250 minimum, for delivery in half the Business Days, subject to availability and to one rush job in flight at a time; extra Revision Round $120 (static) or $180 (editable); bilingual version +50% of the Package price (Landing Page +$375, Full Site +$625, Premium Landing Page +$750, Editable Landing +$575, Editable Full Site +$875); copywriting $120 per page in one language, $200 per page bilingual, translation only $60 per page; logo refresh $250; photo curation $90 per batch of 10; booking or WhatsApp integration $150; motion pack $600 (Editable Full Site only); second hero variant $150 (Premium Landing Page only); Exclusivity $300 (clause 2); Astro + Sanity headless upgrade +$250 (editable Packages); care plans as in clause 9.4. Anything else is quoted in writing.
3.3 We start Change Request work only after you accept the quote in writing and the quoted amount is paid. Change Requests may extend the delivery date; we state the new date in the quote.
4. Price, payment and Recurrente
4.1 Prices are in United States dollars (USD) and exclude taxes and the third-party costs of clause 10.
4.2 Payment schedule. The Package price is paid in two parts. 50% (the “deposit”) is due at checkout through the Recurrente deposit product for your Package; it reserves your place and starts onboarding. The remaining 50% (the “balance”) is due when you approve the final Preview and before Launch and Handover, through the balance payment link we send you. Deposit amounts: Landing Page $375, Full Site $625, Premium Landing Page $750, Editable Landing $575, Editable Full Site $875; the balance is the same amount. Add-ons and Change Requests are paid in full when accepted. The balance also falls due under clause 6.2 (project stalled).
4.3 Processor. Payments are processed by Recurrente (Recurrente S.A., Guatemala) through the checkout link on our site. Cards are charged in USD. Your card issuer may apply its own currency conversion or international transaction fees; those are between you and your issuer. We never see or store your card details. Recurrente’s own terms apply to the payment transaction. The checkout states: “Billed in USD by MANHU Consulting (Guatemala); your bank may add a foreign-transaction fee.”
4.4 If a USD card payment cannot be completed. If your card is declined, or Recurrente cannot process or settle your payment in USD for any reason, we will send you an invoice for the same USD amount payable within 5 Business Days by US domestic bank transfer (ACH or wire) to our USD account, or, if you prefer, in USDC/USDT through Recurrente. The price does not change with the payment method. Kickoff and delivery dates count from the day the funds clear. On orders of $1,000 or more, US bank transfer (ACH or wire) is the default option we show for payment and card is the alternative.
4.5 Deposit. The deposit is non-refundable once Kickoff has occurred, except as provided in clause 12. It is credited against the Package price.
4.6 Late payment. If the balance is not paid within 10 Business Days of falling due, we may (a) keep the site on our staging environment and withhold Launch and Handover, (b) pause the Support Window and any care plan, and (c) charge a late fee of 1.5% per month on the amount outstanding, or the highest rate allowed by the applicable law if lower.
4.7 Taxes and invoices. You are responsible for any sales, use or similar tax that your state or country applies to the purchase of web design services. If a law requires us to collect such a tax from you, we will add it to the invoice. We issue an electronic invoice (FEL) from Guatemala for every payment. On request we provide a completed IRS Form W-8BEN-E.
5. Timeline
5.1 Delivery periods are counted in Business Days from Content Complete or, if your Content is late, from the 11th Business Day after Kickoff (clause 6.1), whichever comes first. They describe our working time on the Tier Scope. They are estimates, not guaranteed dates, and they assume you answer within the review periods of clause 7.
5.2 If you are late with Content, feedback, approvals, access or payment, the delivery date moves day for day (or longer if the delay causes us to re-queue your project), and the delay is not a breach by us.
5.3 We reply to project messages within 3 Business Days (2 Business Days on the Premium Landing Page). Rush delivery is available only as the add-on in clause 3.2 and only when we confirm availability in writing.
6. Your Content: deadline and stall clause
6.1 After your deposit we send the Intake Form (if not already complete), which contains the Content Worksheet in English or Spanish, and a checklist of the accesses we need. Content is due through the Content Worksheet within 10 Business Days of Kickoff. From the 11th Business Day we build with the Worksheet’s placeholders and the delivery period of clause 5 runs from that day.
6.2 Stall. If 30 calendar days pass without a reply from you (to a Preview, a Content request or a question), the build is billed as complete: the balance falls due, the Support Window starts on that day, and the site stays on our staging environment until the balance is paid (clause 4.6). Resuming the project after that requires a restart fee of $150 and a new place in our schedule.
6.3 Build complete, Content missing. If the site is built and only your Content is missing, we send the final Preview with placeholders where Content is missing; clause 7 (approval within 10 Business Days) and clause 6.2 (30 days of silence) run from that day. At your written request we launch with the placeholders. Late Content is inserted when it arrives as Small Edit Batches under clause 9 or at add-on rates.
6.4 You are responsible for proofreading. Changes to text you have approved count as a Revision Round or, after Launch, as small edit batches.
7. Previews, Revision Rounds and approval
7.1 We work in stages: design Preview, build Preview and final Preview. For each Preview you have 5 Business Days to send one consolidated written list of changes through the Project Channel. That list is one Revision Round. Feedback that arrives in pieces is collected into the open round until it closes. A Preview with no reply within 10 Business Days counts as approved and we move to the next stage.
7.2 A Revision Round covers existing sections and copy only: layout changes, colour and type adjustments, edits to the text you supplied, swapping images within the image allowance, and fixing anything that does not match the approved previous stage. It does not cover new pages, sections, lists, features or integrations, a change of direction, or new Content that requires rework; those are add-ons or Change Requests (clause 3). Unused rounds do not roll into the Support Window.
7.3 Your Package includes the Revision Rounds in clause 2. An extra round costs $120 on static Packages and $180 on editable Packages, paid before we start.
7.4 Approval of the final Preview triggers the balance under clause 4.2. Launch takes place within 3 Business Days after the balance clears and your domain access is in place.
8. Launch, Handover and intellectual property
8.1 Until the balance is paid, the site stays on our staging environment under a preview URL, and you have a licence to view it for review only.
8.2 On payment in full we: deploy the site to a hosting account in your name, connect your domain and enable SSL; transfer the Git repository to your GitHub account (and give you a ZIP of the source); on editable Packages, transfer the custom theme’s repository and the WordPress administrator access (owner role), the hosting account being in your name from day one, and give you the “what this site costs to run” sheet (host renewal price and date, plugin licences you chose, domain renewal, form service cap); on the Astro + Sanity upgrade, transfer the Sanity project instead of the WordPress administrator access; hand over all credentials we created for you; and deliver the training call or video for your Package.
8.3 Assignment. Conditioned on payment in full, we assign to you all copyright and other rights in the Deliverables: the final visual design of your site, the site-specific code and configuration, the content structure, and any custom illustration or graphics made for you. Until payment in full, all rights remain with us.
8.4 Provider Tools. We keep ownership of the tools we bring to every project: our template library, design system, reusable components, build and deployment tooling, generic content schemas, scripts and know-how (“Provider Tools”). To the extent Provider Tools are embedded in your site, you receive a perpetual, worldwide, royalty-free, non-exclusive licence to use, modify and host them as part of your site and any later version of it. You may not extract Provider Tools to sell or distribute them as a template, theme or product.
8.5 Third-party components. Open-source software (for example Astro, WordPress), hosted services (for example your WordPress host, Cloudflare, Netlify, GitHub, form and analytics services, and Sanity on the headless upgrade), fonts, plugins and licensed images remain under their own licences. We list them in the Handover notes. You are responsible for keeping any accounts and licences in your name active.
8.6 Concepts, drafts and design directions not selected for your site remain ours.
8.7 You confirm you will not remove or alter copyright notices of third-party components.
9. Support Window
9.1 The Support Window runs for 3 months from Launch or from the day the build is billed as complete under clause 6.2, whichever comes first. It covers, at no cost: defects in the work we delivered, such as broken links, layout bugs, a contact form that does not send, and hosting or DNS settings we configured; plus, where your Package includes them, Small Edit Batches and, on editable Packages, a monthly WordPress core, plugin and theme update with a backup check. A Small Edit Batch is up to 30 minutes of text or image swaps in one request. Batches expire at the end of each calendar month, do not accumulate and cannot be exchanged for other work. Condition: you keep us as a collaborator on the hosting account (and on the WordPress admin, editable Packages) for the whole window; if that access is revoked, the Support Window ends early.
9.2 Support requests go through one channel, the support email or form named in the Handover notes. Response time: 3 Business Days; 2 Business Days on the Premium Landing Page; clocks run on Business Days only. Fixes are scheduled according to severity.
9.3 Excluded from the Support Window: new sections, pages, lists, features or integrations; redesigns; content writing; outages, changes or price changes of third-party services (host, domain registrar, form service, Google, WordPress plugins, Sanity on the headless upgrade); problems caused by changes you or a third party made to the code, CMS, hosting or DNS after Handover; and anything requested after the window ends.
9.4 After the Support Window, work is available under a monthly care plan or by written quote. Static Care, $49 per month: uptime monitoring, dependency updates, one Small Edit Batch per month, priority email. Editable Care, $89 per month: uptime monitoring, WordPress core, plugin and theme updates, weekly off-site backup with restore test, and one hour of edits per month. Batches and hours expire monthly. Annual prepayment gives 2 months free. Care plans are billed monthly through Recurrente and can be cancelled with 30 days’ written notice.
10. Third-party costs and accounts
10.1 The Package price covers our services only. The following are paid by you directly to the provider and are not included: domain registration and renewal; hosting beyond a free tier (on editable Packages, the managed WordPress hosting in your name, currently $10 to $35 per month at renewal at the hosts we recommend; verified 2026-09-04); premium plugins, themes or extensions you choose; commercial font licences (we use open-licence fonts by default); licensed images beyond your Package allowance; upgrades to the form service above its free tier; on the Astro + Sanity upgrade, paid CMS plans or editor seats beyond the owner, billed by the CMS provider; email hosting; booking, chat or marketing tools; and any tax. Editor accounts beyond the owner are created at no charge on WordPress.
10.2 Accounts for domain, hosting (including your WordPress host), GitHub, WordPress administrator (or Sanity on the headless upgrade), analytics, form service and similar are opened in your name and with your email, either by you or by us on your behalf with your authorisation. You accept those providers’ terms, keep the accounts paid and secure, and are responsible for any suspension caused by non-payment or by changes you make.
10.3 We may recommend providers but we do not guarantee their availability, prices or terms.
11. Your responsibilities and warranties
11.1 You warrant that you own or have a valid licence for all Content you give us; that the Content and your use of the site do not infringe any third party’s rights and are not unlawful, misleading or defamatory; and that you have authority to bind the business named in the Order.
11.2 Legal compliance of your business and of your site’s content is your responsibility: privacy policy and cookie notices, consumer, advertising and industry rules, and accessibility obligations. We build to current good practice (semantic HTML, mobile performance, basic accessibility) and install the legal texts you supply, but we do not provide legal advice and do not certify compliance with any law or standard.
11.3 You will review each Preview and the final site before Launch. After Handover you are responsible for backups, security updates and account administration, except where a care plan says otherwise. We keep a copy of the delivered source for 90 days after Handover as a courtesy.
11.4 You will indemnify us against third-party claims arising from your Content or from your use of the site in breach of these Terms.
12. Cancellation and refunds
12.1 By you, before Kickoff. Within 7 calendar days of your deposit and before Kickoff, you may cancel by email and receive a full refund of the deposit. After Kickoff, or after 7 days, the deposit is not refundable.
12.2 By you, after Kickoff. You may end the project by written notice at any time. We keep the deposit and any amounts paid for completed stages, and we invoice any completed Change Requests. Work completed to date is delivered as files after payment of what is due. Rights under clause 8.3 pass only for the parts paid in full.
12.3 By us. We may end the project by written notice if you breach these Terms (including non-payment, unlawful Content or abusive conduct) or under the stall clause; in those cases the deposit is retained. If we cannot deliver for reasons on our side (for example prolonged unavailability or a force majeure event lasting more than 30 days), we refund the amounts you paid for work not delivered, and that refund is your sole remedy.
12.4 Refund mechanics. Refunds to a card are made through Recurrente and are only possible within 30 days of the original charge; they appear on your statement within 3 to 25 business days depending on your bank. After 30 days, refunds are paid by US bank transfer within 10 Business Days of our written confirmation. Processing fees are not refunded on partial refunds.
12.5 Chargebacks. Please contact us before disputing a charge with your bank; most issues can be solved in one message. Filing a chargeback for work delivered under these Terms is a breach. We will submit the Order, Intake Form, Previews, delivery emails and correspondence as evidence. If a chargeback succeeds on work already delivered, we may take the site offline and suspend the licences of clause 8 until the amount is paid again.
13. Limitation of liability
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER OR IN CONNECTION WITH AN ORDER, WHETHER IN CONTRACT, TORT OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU PAID US FOR THAT ORDER.
13.2 WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
13.3 WE DO NOT GUARANTEE ANY BUSINESS RESULT: TRAFFIC, LEADS, SALES, SEARCH RANKINGS, AD PERFORMANCE OR SCORES IN THIRD-PARTY TOOLS. WE ARE NOT LIABLE FOR THE ACTS, OUTAGES OR CHANGES OF THIRD-PARTY PROVIDERS.
13.4 Any claim must be brought within 12 months of the event giving rise to it. Nothing in these Terms limits liability that cannot be limited by law.
14. Confidentiality, portfolio and credit
14.1 We keep confidential any non-public information you share with us and use it only to deliver the Order. This does not cover information that is public, already known to us, or that we must disclose by law.
14.2 Portfolio. We and the subcontractors named in clause 15 may display the finished site, screenshots, and your business name and logo in our portfolios, websites, social media, proposals and case studies, and may describe the work done. We will not publish your confidential figures. You may opt out of portfolio use by writing to us before Launch.
14.3 Credit. We may place a discreet “Site by Manhu” text link in the site footer. You may ask us to remove it at any time, and we will do so within one small edit batch.
15. Subcontracting
We deliver Packages with independent contractors, including FSEVO, the design and development studio that builds them. Your contract is with Manhu only; Manhu is responsible for the work, and our contractors are bound by the confidentiality and intellectual-property terms above. The rights in clause 8 pass to you through Manhu.
16. Communication and language
16.1 Project communication is by email and WhatsApp, in English or Spanish as you prefer. “In writing” means email or WhatsApp text message. Notices about cancellation, Change Requests and disputes must be sent by email to [email] and, from us, to the email in your Order.
16.2 These Terms are published in English and Spanish. [The English / The Spanish] version prevails in case of doubt.
17. Governing law and disputes
17.1 Before starting any proceeding, the parties will try to resolve the dispute in good faith by direct negotiation for 30 days from written notice.
17.2 [OPTION A] These Terms are governed by the laws of the Republic of Guatemala. Any dispute not resolved by negotiation is finally settled by arbitration administered by the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Guatemala (CRECIG) under its rules, by one arbitrator, in Guatemala City, in [Spanish / English]. Either party may still bring a claim for amounts under the small-claims limit of the competent court in its own jurisdiction.
17.2 [OPTION B] These Terms are governed by the laws of the State of [state], United States, without regard to its conflict-of-laws rules, and the courts of [county, state] have exclusive jurisdiction, except that either party may bring a claim in a small-claims court with jurisdiction over it.
17.2 [OPTION C] These Terms are governed by the laws of [Guatemala / the State of ___]. Any dispute not resolved by negotiation is finally settled by binding arbitration conducted online under the [AAA-ICDR / JAMS] rules by one arbitrator in [English / Spanish]; either party may bring a claim in a small-claims court with jurisdiction over it.
[Choice and drafting to be made by counsel. At $750 to $1,750 tickets no forum is economic; the working protection is the 50/50 payment structure of clauses 4, 6 and 8.]
18. General
18.1 The Order is the entire agreement for the Package and replaces earlier proposals or messages. Changes are valid only in writing.
18.2 You may not assign the Order without our written consent; we may assign it to a successor of our business.
18.3 Neither party is liable for delay caused by events beyond its reasonable control (force majeure); dates extend accordingly.
18.4 If a clause is invalid, the rest stays in force. A party’s failure to enforce a clause is not a waiver.
18.5 Clauses 8, 11, 12, 13, 14 and 17 survive the end of the Order.
